1. Agreement to Terms and Conditions

Huawei Technologies Co., Ltd. welcomes You to Huawei Global Analyst Summit 2021 (HAS 2021). These terms and conditions ("Terms") represent an agreement between You and Huawei Technologies Co., Ltd., its subsidiaries, and affiliates in relation to HAS 2021. These Terms set out important information regarding Your  rights and obligations that may apply, and are legally binding.

These Terms apply to the website located at https://agenda.events.huawei.com/has2021/#/online/sign_en, and all associated sites or apps linked to at https://agenda.events.huawei.com/has2021/#/online/sign_en (collectively, the "Website").

In these Terms, Huawei Technologies Co., Ltd. and its parent company, subsidiaries, and affiliates, as well as any of their employees, etc. will be referred to as "Huawei". You, your employer, agents, any other entity or persons who accept and agree to be legally bound by these Terms on your behalf, and any such parties not listed herein will be referred to as "You". To use the Website, You should be 18 years of age or older, have full capacity for civil rights and conduct, and are able to assume legal responsibility independently. Otherwise, Huawei reserves the right, at its sole discretion, to refuse to provide services to You at any time, and You shall be held fully liable for any loss caused to Huawei or a third party. If You are a person without or with limited capacity for civil conduct, You can only use this Website under the supervision of Your parent or legal guardian. Otherwise, Huawei reserves the right to freeze, close, or delete Your account to the extent permitted by law.

The Website is the property of Huawei Technologies Co., Ltd. Please carefully read and make sure You fully understand these Terms. You agree to be legally bound by these Terms (e.g., privacy protection, limitation of liability, and exemption clauses) when You: a) use any part of the Website, including but not limited to any registration performed by yourself or a third-party on Your behalf, logging into or browsing the Website, filling out any survey on the Website, or watching live streams; b) accept an invitation to HAS 2021, or c) attend HAS 2021. If You do not agree, do not click I Agree below. By not agreeing, You will be prohibited from using or enjoying any of the Website's services in any capacity and from attending HAS 2021.

Huawei reserves the right, at its sole discretion, to change, modify, add, or remove portions of these Terms or certain content on the Website, at any time, and without notice. All amended terms or content on this Website shall immediately take effect upon being posted to the Website, and thereafter apply to all access to HAS 2021 and the use of any apps or services related to HAS 2021. Information on this Website may not be updated and mistakes may not be corrected quickly due to technical limitations. You confirm that You understand this and will not hold Huawei accountable. It is Your responsibility to ensure that You review and check these Terms on a regular basis to see if there are any changes. Following any changes, Your continued use of the Website, as well as any apps or services related to HAS 2021, or Your attendance of HAS 2021 signifies that You accept and agree to the changes.

2. Provided Products and Services

HAS 2021 will be held from April 12 to April 14, 2021. The Website provides relevant account and registration information, consultations, agendas, live streams, and other services related to HAS 2021. You shall not use this Website or any content related to HAS 2021 for any illegal purposes or for any purposes prohibited by these Terms, or instigating any illegal use of this Website or any content related to HAS 2021 , such as by infringing upon the rights of Huawei or others.

3. Links to Third Parties

Although links to third party websites may be contained in this Website for Your convenience, any decision to visit these websites is Your decision. Huawei does not guarantee the accuracy, integrity, sufficiency, and reliability of any information, data, opinions, pictures, statements, or suggestions made available on these websites. In addition, links to any third-party websites do not imply any endorsement by Huawei of any site or product or services referenced therein.

4. Cancellations

You hereby agree that under no circumstances shall Huawei be liable to You or any third party for any requests, losses, liabilities, claims, or costs resulting from the postponement, cancellation, or termination of HAS 2021, including but not limited to attorney fees and travel and accommodation fees, unless otherwise stated herein.

5. Badges

HAS 2021 offline event is open to attendees 18 years of age and older. You shall use Your name card and photo identification to redeem Your badge at a designated check-in counter. This badge will be provided by the HAS 2021 Registration Office and is the property of HAS 2021. It is not transferable. Borrowed, duplicated, or reprinted badges are not valid for admission. The HAS 2021 Event Team has the right to confiscate such badges.

6. Intellectual Property

All texts, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, and computer code (collectively, "Content"), contained within the Website and used at HAS 2021 are owned and controlled by, or licensed to Huawei, and are protected by trade rights, copyrights, patents, and trademark laws, as well as various other intellectual property rights and anti-unfair competition laws. Unless otherwise stated herein, no content from the Website, HAS 2021, or their derivative content may be copied, distributed, republished, broadcast, linked to, transferred via hyperlinks, or stored in an information retrieval system in any way, or for any commercial purposes, without Huawei's prior written consent.

You may download and use any information concerning HAS 2021 from the Website which has been purposely made available by Huawei, given that You (1) only use such information for personal, non-commercial purposes and do not copy or post such information to any networked computer or disseminate it in any way, (2) do not remove any proprietary notices or watermarks from any document, (3) make no modifications to any such information, and (4) do not make any representations or warranties relating to such documents.

7. Photography

By agreeing to these Terms, You understand and agree that Huawei and its agents have the right to interview, take photographs, and/or make video recordings of you at HAS 2021. You hereby grant Huawei and its agents the right to use, copy, transmit, broadcast, publish, and display Your personal information (including but not limited to your image and/or photographs, voice recordings, and interviews with you), with or without Your name, in any manner or media, including in print, Internet, or electronically, worldwide, for publicity, marketing, advertising, and other promotional purposes concerning Huawei and HAS 2021. You agree that Huawei is the exclusive copyright owner of these information and agree that You shall have no right of review or approval, no claim to compensation, no claim arising out of or resulting from the use of these information in any manner, and agree to release and hold Huawei and its agents harmless for any and all such uses.

Without written consent from Huawei, your use of any device to capture images and sound of, live stream, or duplicate speeches, presentations, or relevant materials at HAS 2021, or dissemination of the above information or materials in any way, for any commercial purposes other than legitimate news reporting and media dissemination, is prohibited. You hereby understand and agree that Huawei reserves the right to remove You from HAS 2021 for violating the above items without assuming any liability.

8. Code of Conduct

You hereby acknowledge and agree that You shall not solicit business from other attendees while at HAS 2021. During HAS 2021, and within any of the three days before or after HAS 2021, You are prohibited from: a) planning, attending, or participating in any other events which are not located at the HAS 2021 venue; b) encouraging other attendees to do so. If You fail to comply with the Code of Conduct, Huawei reserves the right to remove You from the HAS 2021 without assuming any liability.

You may volunteer or be invited to participate in activities during the course of HAS 2021, and such participation shall be entirely at Your own risk. Huawei does not require You to take part in such activities. Huawei is not responsible or liable for any injuries, damages, or losses You may suffer as a consequence of participating in such activities, other than to the extent that such injuries, damages, or losses are caused by Huawei's gross negligence or willful misconduct.

9. Force Majeure

For the purpose of these Terms, Force Majeure refers to an impediment beyond Huawei's control. Force Majeure is considered any event that Huawei could not have predicted and that affects its ability to meet the conditions of these Terms and Huawei could not reasonably have avoided or overcome. Force Majeure includes but is not limited to earthquakes, typhoons, floods, fires, diseases or pandemics, wars, acts of terrorism, government actions, strikes, airline cancellations, and failures by third parties to deliver products or services. In the event of a Force Majeure, Huawei will not be held responsible for any damages, increased costs, or losses which You may incur due to such failures or delays of performances. Huawei will take appropriate measures to minimize or negate the effects of Force Majeure and, within the shortest possible time, attempt to resume performance of its obligation (s).

10. Limitation of Liability and Indemnity Agreement

By registering for or attending HAS 2021, You hereby agree that You understand and agree to release and hold harmless Huawei from any alleged or actual liabilities, claims, lawsuits, damages, or losses, including government penalties, reasonable attorney fees, and other fees arising or resulting from Your use of this Website and participation in HAS 2021 and supporting activities, or from the gross negligence or willful misconduct of Your employees, agents, contractors, and other persons attending HAS 2021 on Your behalf, including but not limited to property damage and personal injury.

If You fail to comply with any of these Terms or any other reasonable requests made by Huawei, Huawei reserves the right to remove You from HAS 2021 without assuming any liability. 

You hereby acknowledge and agree that Huawei and its agents have no control over independent suppliers who provides accommodations and other services as a part of HAS 2021. Accordingly, You agree to release Huawei and its agents from any and all liabilities, losses, damages, or lawsuits arising or resulting from the actions or omissions of independent suppliers in connection with HAS 2021, or from any other causes beyond the control of Huawei and its agents.

Notwithstanding the other provisions of these Terms, to the maximum extent permitted by law, Huawei will not be liable for any liabilities or damages under these Terms and in relation to HAS 2021, whether it is a liability or damage stipulated in these Terms, warranty, infringement (including negligence), or other liabilities.

Except where prohibited by law, in no event will Huawei be liable to You for any indirect, consequential, exemplary, incidental, or punitive damages, including but not limited to lost profits, even if Huawei has been advised of the possibility of such damages.

11. Termination

The Terms shall take effect when You click I Agree and shall expire upon the date when all the obligations of all parties are fulfilled or the date of termination of these Terms. Both Parties' rights and obligations, which by their nature would continue beyond the termination or expiration of the Terms, shall include but not be limited to those contained in intellectual property rights, photography, disclaimers, limitation of liability & indemnity agreement, and any other parts of the Terms which expressly or implicitly shall survive termination for any reasons or expiration. Huawei reserves the right to terminate these Terms or prevent you from entering the HAS 2021 venue immediately upon issuing notification to Your registered email address, at any time.

12. Disclaimers

Your use of the content contained on the Website and/or Products and Services provided during HAS 2021 is at your own risk. Unless otherwise stipulated by law, Huawei does not provide any express or implied warranties or guarantees to the information, content, materials, products (including software), and services provided on the Website and/or during HAS 2021. Huawei does not promise that the website or any services will completely meet Your needs, be error-free or uninterrupted, or be provided in a timely and secure manner.

13. Entire Agreement

These Terms and the ordering of Products and Services represent the entire understanding between Huawei and You concerning the Website and/or HAS 2021 and supersede all prior discussions, negotiations, notifications, MoUs, documents, agreements, and representations, whether oral or written, express or implied.

14. Applicable Laws and Dispute Resolution

You hereby acknowledge and agree that these Terms is signed in Longgang District, Shenzhen, Guangdong. All disputes arising in relation to HAS 2021 and/or the conclusion, performance, and interpretation of these Terms shall be governed by the laws of the People's Republic of China. If some of these Terms conflict with applicable laws, such terms shall be completely reinterpreted in accordance with the law, and other terms will remain valid. In the event of a dispute arising out of or in relation to HAS 2021 and the conclusion, performance, and interpretation of these Terms, You and Huawei shall negotiate a resolution; if an agreement cannot be reached, You agree that the dispute shall be decided through civil procedures at the People's Court of the relevant jurisdiction at the place where these Terms is signed.

15. General

The Terms are signed in both Chinese and English. In the event of any discrepancies, the Chinese version shall prevail.

Huawei is not responsible for any losses or damages that are unforeseeable or beyond Huawei's control. Losses or damages are foreseeable if they are an obvious consequence of a breach of contract by Huawei, or if they were contemplated by You and Huawei at the time the Parties entered into the Terms.

Unless otherwise agreed by the Parties, no delay on the part of Huawei in exercising any of its rights hereunder, failure by Huawei to exercise these rights, nor any delay in requesting or not requiring You to perform Your obligations under these Terms shall constitute a release or waiver of these rights. None of the parts, conditions, or provisions of these Terms shall be held to have been changed, waived, varied, modified, or altered by any act or knowledge of You.

YOU WARRANT AND GUARANTEE THAT YOU ARE 18 YEARS OF AGE OR OLDER, HAVE FULL CAPACITY FOR CIVIL RIGHTS AND CONDUCT, AND ARE ABLE TO ASSUME LEGAL RESPONSIBILITY INDEPENDENTLY. BY CLICKING "I HAVE READ AND AGREE TO THESE TERMS AND CONDITIONS", YOU ACKNOWLEDGE THAT YOU HAVE CAREFULLY READ AND SIGNED THE TERMS FREELY AND VOLUNTARILY AND THAT YOU AGREE TO BE BOUND BY THESE TERMS. BY NOT AGREEING, YOU WILL BE PROHIBITED FROM USING OR ENJOYING ANY OF THE WEBSITE'S SERVICES IN ANY CAPACITY AND FROM ATTENDING HAS 2021.
